By checking the box next to this Terms of Use, and clicking the “Complete My Purchase” button, you, the purchaser of a subscription to the Membership Site entitled SALT Society Membership, (hereinafter “Client”) acknowledge the terms as outlined herein, and agree and willingly purchase entry into SALT Society Membership to be provided with services rendered by SALT Society Membership (hereinafter “SALT Society”), and you agree you are voluntarily entering into a legally binding Agreement, including the automatic renewal terms, with SALT Society, inclusive of the following terms and conditions mutually agreed upon: 

For good and valuable consideration of Twenty-nine dollars and ninety-five cents U.S. dollars ($29.95) charged monthly, or two hundred and ninety-nine dollars and ninety-five cents U.S. dollars ($299.95) charged yearly, Client has agreed to purchase a monthly, or annual, subscription to The SALT Society Membership. In exchange, SALT Society agrees to provide the services outlined in the Membership Site Details below, and Membership Site Addendum attached hereto.

  1. Membership Site Outline:
    1. Client agrees and understands that he/she is purchasing a monthly subscription to SALT Society Membership, offering well-rounded education which covers the following topics: Professional Development, Business Development, and Personal Development. Access to our members only private Facebook group to connect with industry leaders, Membership editors and peers. SALT Society members only merchandise, and further email support with our educators when needed. 
    2. Client acknowledges that he/she has read the Membership Site Addendum and conducted any additional research necessary to feel he/she understands what is being provided in The SALT Society Membership as well as what is not included. 
    3. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement.
    4. The SALT Society Membership is not to be considered a substitute for personalized business, medical, or legal advice. The SALT Society Membership is not designed to treat any mental, emotional, or other medical conditions. If you as the Client believe you may be in need of personalized attention, whether for your business, health, or otherwise, please seek additional assistance outside The SALT Society Membership.
  2. Confidentiality
    1. Client understands he or she is purchasing a monthly subscription to The SALT Society Membership with SALT Society. Following Client’s purchase and access to The SALT Society Membership, Client will have gained access to various trade secrets and personal intellectual property of SALT Society, including but not limited to materials such as verbal, written, and video advice, mindset guidance, and/or other information that may become available for use through Client’s participation in The SALT Society Membership. Client understands and acknowledges that this information is not to be openly shared with others who have not purchased a membership to The SALT Society Membership. Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through The SALT Society Membership, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business without express written permission of SALT Society.
    2. Should Client breach this provision and disclose confidential or proprietary information belonging to SALT Society or another participating in The SALT Society Membership, Client understands additional action may be taken by SALT Society up to and including legal action.
  3. Testimonials
    1. SALT Society may request Client provide a testimonial to be published on SALT Society’s website, or on various sales materials for The SALT Society Membership or another Program created by SALT Society. Client understands that he or she is not required to give any testimony, and understands that the choice to do so is freely up to Client. There will be no ramifications or change in relationship between SALT Society and Client if Client refuses testimonial.
    2. If Client accepts and provides SALT Society with a testimonial, Client understands the material, along with a photo of Client, will likely be published on SALT Society’s website or otherwise. Should Client agree to provide a testimonial, Client will agree to review and sign an additional Release, confirming same, and confirming SALT Society’s rights to use Client’s testimonial. No payment or additional services will be provided in return for Testimonial, and Client understands he or she is granting SALT Society an unlimited, irrevocable license in perpetuity to use, publish, distribute, or repurpose any information provided to SALT Society as part of a Testimonial.
    3. Client gives SALT Society an unlimited, irrevocable license to repost, share, publish, and otherwise use the text, name, and/or likeness of Client which client voluntarily posts to social media or sends in via email, including but not limited to The SALT Society Membership Facebook group, SALT Society Facebook Page, Instagram comments, Instagram DMs to SALT Society. Client understands and agrees any such comments or messages sent or posted by Client may be captured and reposted by SALT Society in any capacity it sees fit, including but not limited to sharing in email marketing, reposting to the public on social media, and otherwise sharing the comment with the public in an effort to publicize and market for The SALT Society Membership.
  4. Payment and Payment Plans
    1. Client understands the cost of The SALT Society Membership is payable monthly, in the amount of Twenty-nine dollars and ninety-five cents U.S. dollars ($29.95), or annually, in the amount of  two hundred and ninety-nine dollars and ninety-five cents U.S. dollars ($299.95) and charged automatically by month or year, in accordance with the Auto-Renewal Terms outlined below in paragraph five (5).
    2. Client understands he/she is responsible for the full payment each month or year, and agrees to pay the sum requested electronically, via SALT Society’s website or a designated third-party payment processor of SALT Society’s choosing, in full. If Client has joined The SALT Society Membership during a promotional period and has been promised a trial period that is less than the amount outlined above, Client understands that after such trial period, the monthly amount due and payable will be $29.95 per month, or $299.95 per year.
    3. Should Client fail to make timely payments, or if additional payments are not able to be processed, Client understands Client’s access to The SALT Society Membership may be restricted if payment is not made within 1 day of the date it is due. If payment is not made on the date it is due, SALT Society will continue to attempt to charge Client via the membership site software; if and when payment goes through, Client will again receive full access to the membership site.
    4. If payment is not collected, Client’s access will remain restricted, and Client will carry a balance on his/her account, showing the month(s) owed. Client must bring her account completely current in order to be granted access. If payment continues to be unsuccessful after sixty (60) days, Client membership shall be revoked and permanently cancelled. Should Client wish to rejoin The SALT Society Membership, after this period, she must do so at the current price membership is being offered.
    5. SALT Society reserves the right to cancel Client’s access to The SALT Society Membership should he/she fail to make additional payments in accordance with the Auto-Renewal Terms as outlined below. Should this occur, Client understands she is not entitled to a refund of funds already issued to SALT Society or access to The SALT Society Membership.
  5. Auto-Renewal Agreement
    1. Client understands and agrees that continued access to The SALT Society Membership requires recurring monthly payments of $29.95, or recurring annual payments of $299.95, that will be made by Client on the day of the month or year on which they signed up. (For example, if Client joins The SALT Society Membership on the 5th of the month via monthly membership, they will continue to be charged on the 5th of every month thereafter.)
    2. If Client elects to be charged monthly: by purchasing access to The SALT Society Membership, and agreeing to these Terms of Use, Client understands he/she will be automatically charged each month, in the amount of $29.95 via the same card or manner in which the initial payment was made, for the following month of membership to The SALT Society Membership. This process will repeat each month unless and until Client properly cancels his or her membership.
    3. If Client elects to be charged annually: by purchasing access to The SALT Society Membership, and agreeing to these Terms of Use, Client understands he/she will be automatically charged each year, in the amount of $299.95 via the same card or manner in which the initial payment was made, for the following year of membership to The SALT Society Membership. This process will repeat each year unless and until Client properly cancels his or her membership.
  6. CANCELLATION POLICY:
    1. If Client wishes to cancel his or her membership, Client must do so more than 72 hours before the charge is scheduled to withdraw. Any requests for cancelation made less than 72 hours before the automatic renewal is scheduled to charge Client’s card, or made subsequent to the charge, will take effect the following month.
    2. HOW TO CANCEL: In order to cancel a membership, Client must send an e-mail to [email protected] with the subject line MEMBERSHIP CANCELLATION, including the Client’s name, email address, and confirmation of request to terminate his or her membership. Client will be notified upon SALT Society’s receipt of email, and his or her membership will subsequently be canceled prior to the following billing period, assuming it is more than 72 hours away.
    3. As outlined above, if Client cancels his or her membership less than 72 hours before the automatic renewal is scheduled to charge Client’s card, Client acknowledges and agrees he or she will be charged for the next month, and the cancelation will take effect following this.
    4. If Client purchased access to The SALT Society Membership during a period in which a free month(s), or trial period was granted, Client understands he or she will be automatically charged the full monthly amount of $29.95 following the end of the trial period. Client will not be given any additional notice regarding the end of the trial period, By checking the box on the purchase page confirming your agreement to these Terms, you also confirm you are given your unequivocal, clear, affirmative consent to your agreement with these automatic renewal terms, the cancelation policy, and that you understand how to cancel before your card is charged for the following month.
  7. Refund Policy
    1. SALT Society is not able to offer refunds once Client has purchased access to The SALT Society Membership for any reason, including inability to obtain access to the site. If Client is dissatisfied with his or her membership or otherwise unable to view it in its entirety, he or she may reach out to customer service at [email protected] or may elect to Cancel via the CANCELLATION POLICY outlined above in paragraph six (6), and will not be charged for subsequent months.
    2. Client further agrees and understands that changing his/her mind about the The SALT Society Membership failing to follow through or understand the details of the The SALT Society Membership, not experiencing the results he/she expected or desired, or experiencing any other similar situations does not entitle her to a refund.
  8. Technology
    1. SALT Society is not responsible for any specific technology you may need in order to adequately view and utilize The SALT Society Membership. Client’s inability to access The SALT Society Membership due to a technology issue on Client’s end does not qualify Client for a refund, nor does it alleviate Client of his or her responsibility to make monthly payments, unless or until Client’s membership is properly canceled in accordance with the cancelation policy in paragraph six (6).
  9. Voluntary Participation
    1. Client understands and agrees that he/she is voluntarily choosing to enroll in The SALT Society Membership and is solely responsible for any outcomes or results. While SALT Society believes in the services and that The SALT Society Membership is able to help many people, Client acknowledges and agrees that SALT Society is not responsible nor liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications. Client agrees that he/she is fully responsible for his/her health and well-being, including participation in The SALT Society Membership and any results therein.
    2. Client also understands she will have the opportunity to provide SALT Society with additional personal information, viewable to all The SALT Society Membership members, including but not limited to location, industry, and other information. All information is completely voluntary and optional to complete, and Client does not gain or lose anything in The SALT Society Membership for choosing to complete or not complete the additional information. Client understands this information will only be viewable to others inside the The SALT Society Membership, and understands that should he/she elect to complete the information, he/she is doing so completely voluntarily, and that The SALT Society Membership and SALT Society are not responsible for any negative results from such information dissemination.
  10. Disclaimer /No Guarantees
    1. While many of SALT Society’s past and current clients have experienced wonderful benefits from the content contained in The SALT Society Membership, SALT Society cannot guarantee results from any of the content on The SALT Society Membership, and cannot make any representations or guarantees regarding individual results. Client will hold SALT Society harmless if he or she does not experience the desired results.
    2. Client understands that all services provided by The SALT Society Membership and SALT Society in connection with The SALT Society Membership being purchased are provided on an “as is” basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or expectation or course of performance. Client is choosing to purchase access to The SALT Society Membership and work with SALT Society on a purely voluntary basis and does not hold SALT Society or The SALT Society Membership responsible should Client become dissatisfied with any portion of The SALT Society Membership.
    3. Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following completion of The SALT Society Membership, as long as SALT Society delivers The SALT Society Membership as described in the Addendum below.
    4. Client also agrees to hold SALT Society harmless should any physical, emotional, or financial injury occur as a direct or indirect result of The SALT Society Membership. The content provided by SALT Society on its website and within The SALT Society Membership is comprised of information that has worked for SALT Society and other clients, and may or may not be useful to Client in his/her personal business or life. Client understands SALT Society cannot guarantee results from this The SALT Society Membership, and has no expectation of a specific result that he or she holds SALT Society responsible for.
    5. Client also understands he or she is purchasing the The SALT Society Membership and participating freely and voluntarily. The information contained within The SALT Society Membership may not be suitable for all persons and all business levels, and Client understands he or she may need to modify, edit, or change some of the educational lessons within The SALT Society Membership in order to make it applicable to Client’s business.
  11. Not Medical or Professional Advice: The purpose and goal of The SALT Society Membership is to provide Client with monthly education and assistance. The SALT Society Membership and content contained within The SALT Society Membership is not to be considered personalized business, medical, legal, or financial advice, and nothing within The SALT Society Membership is intended to provide or act as a substitute for mental health treatment. SALT Society encourages Client to consult the relevant professional needed if he/she suspects he/she may benefit from such services. We will assume that all individuals choosing to purchase access to The SALT Society Membership will have done any additional research necessary and has concluded that The SALT Society Membership offer is right for them.
  12. Intellectual Property
    1. Client agrees and understands that SALT Society has created numerous original, creative works in connection with The SALT Society Membership, and agrees that SALT Society maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in The SALT Society Membership, whether created prior to working with Client or specifically for Client, including but not limited to: documents, charts, emails, graphs, products, systems, processes, handouts, worksheets, copy for website or sales pages, and any other original work created by SALT Society. Client agrees she may be granted a limited right to use selected materials in the course of his or her own business but understands that the original proprietary rights remain with SALT Society. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from SALT Society to Client, nor grant any license to use the information, other than that which is expressly provided throughout the course of The SALT Society Membership.
    2. Client agrees and understands he/she is not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by SALT Society or obtained through working with SALT Society, without SALT Society’s express written consent. If such behavior is discovered or suspected, SALT Society reserves the right to immediately end Client’s participation in The SALT Society Membership without refund, as well as access to any The SALT Society Membership or materials Client may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law.
    3. Licensee Rights: SALT Society’s Limited License to Client: Client understands that in purchasing The SALT Society Membership, she/he is gaining access to view all content and information available as part of The SALT Society Membership. Client understands this means he/she will have been granted a limited, revocable, non-transferable license to use the information provided as instructed or allowed by SALT Society. As a “Licensee,” Client understands and agrees that Client will not:
      1. Copy, edit, distribute, duplicate or steal any information or any Content obtained through The SALT Society Membership without written permission by SALT Society;
      2. Post, distribute, copy, steal or otherwise use any portion of the The SALT Society Membership or its content, or information obtained via other members in the group The SALT Society Membership without written permission by SALT Society, and understand that any such use may constitute infringement, which may give rise to a cause of action against Client.
      3. Claim any content created by SALT Society as part of The SALT Society Membership or otherwise given to Client is his/her own, meaning he/she cannot claim any content created by SALT Society was Client’s work, and use in his/her business as his/her own.
      4. Share purchased materials, information, content with others who have not purchased them.
      5. Client further acknowledges and understands that any such actions including but not limited to those outlined above will likely constitute infringement and/or theft of our work, and a violation of this Agreement and United States Federal laws.
  13. Indemnification
    1. Client agrees at all times to defend, fully indemnify and hold SALT Society and any affiliates, agents, team members or other party associated with SALT Society harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client’s use of The SALT Society Membership, as well as any third-party claims of any kind (including attorney’s fees) arising from his/her actions as a direct or indirect result of Client’s participation in The SALT Society Membership. Should SALT Society be required to defend herself in any action directly or indirectly involving Client, or an action where we decide Client’s participation or assistance would benefit SALT Society’s defense, Client agrees to participate and provide any evidence, documents, testimony, or other information deemed useful by SALT Society, free of charge.
  14. Dispute Resolution
    1. Should a dispute arise between SALT Society and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a “dispute” and agrees he or she does not hold SALT Society responsible for any specific results, or those results which have been achieved by other clients of SALT Society.)
    2. If unable to reach a resolution informally, Client and SALT Society agree that all disputes will be submitted for Arbitration by the American Arbitration Association, to be completed in Connecticut within a reasonable amount of time. Client and SALT Society agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgement of law or decree.
  15.  Applicable Law
    1. This Agreement shall be governed by and under control of the laws of Connecticut regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of Connecticut are to be applicable here.
  16. Amendments
    1. This agreement is not to be altered, amended, changed, extended, or considered waived without execution of an additional addendum signed by both Client and SALT Society, or a party authorized to sign on behalf of either party.
  17. THE SALT SOCIETY MEMBERSHIP OUTLINE 
    1. Client understands, acknowledges, and agrees he/she is purchasing a monthly subscription to The SALT Society Membership. While the below is subject to change, at the time of purchase, The SALT Society Membership includes access to the following:
      1. The SALT Society Membership, including all content and resources that have been created since inception of the Membership.
      2. Educational resources in the following topics: professional, business, and personal development, delivered on the 1st of each month containing trainings on various topics that have been deemed relevant to online business owners, stylists, and industry leaders with corresponding handouts, workbooks, or other materials;
      3. Email support when needing further assistance. 
      4. Access to an exclusive Facebook community only for SALT Society members.
      5. Additional resources, guides, and services, exclusive members only merchandise as created by SALT Society.
